Terms of Service
1. Service description
netSEO Whatsapp Connect is a software-as-a-service integration operated by NET SEO MEDIA SRL that helps CS-Cart merchants connect their own WhatsApp Business Accounts and send transactional order notifications to customers who have opted in. The product is currently offered in private testing / development and may change.
WhatsApp is a product of Meta Platforms, Inc. netSEO Whatsapp Connect is an independent software integration and is not endorsed or sponsored by Meta unless expressly stated otherwise. Net Seo Media does not claim Meta Partner, Meta-approved, or WhatsApp-certified status unless Meta has expressly granted such status.
2. Eligibility and accounts
The service is intended for merchants operating CS-Cart stores and for authorized administrators acting on behalf of those merchants. You must provide accurate information, safeguard credentials, and ensure only authorized personnel connect Meta assets. Public self-serve signup may be unavailable while the product remains in private testing.
3. Merchant responsibilities
- install and configure the CS-Cart module correctly;
- authorize only business assets you are entitled to manage;
- obtain and document customer opt-in before sending WhatsApp notifications;
- use approved message templates and accurate order-related content;
- comply with applicable laws, Meta terms, WhatsApp Business policies and CS-Cart obligations;
- keep recipient lists and consent records accurate;
- pay any Meta messaging / conversation charges associated with your WhatsApp usage.
4. Use of WhatsApp Business Platform
Merchants connect their own Meta Business Portfolio, WhatsApp Business Account and phone number. Message delivery depends on Meta’s platform, template approval, recipient status and Meta’s policies. We do not control Meta’s uptime, template review outcomes or Meta billing decisions.
5. Consent and templates
Transactional notifications may be sent only where the merchant has a valid basis and has indicated opt-in as required by the integration. Merchants must not use the service for spam, unsolicited marketing that violates WhatsApp rules, deceptive content, or prohibited categories of content.
6. Permitted and prohibited use
Permitted use is limited to operating a legitimate CS-Cart ↔ WhatsApp transactional notification integration. Prohibited use includes, without limitation:
- attempting to access another merchant’s data or assets;
- bypassing authentication, HMAC, webhook verification or rate limits;
- reverse engineering except where permitted by mandatory law;
- using the service to violate Meta / WhatsApp policies or applicable law;
- reselling Platform Data or using it for advertising outside the merchant’s authorized messaging;
- uploading malware or abusing support channels.
7. Fees
Meta messaging / conversation fees are billed by Meta to the merchant according to Meta’s pricing and the merchant’s WhatsApp setup. Any separate fees charged by Net Seo Media for the SaaS integration, if applicable, will be communicated separately and are distinct from Meta charges. During private testing, commercial terms may be agreed case by case.
8. Availability and maintenance
We aim to keep the service available but do not guarantee uninterrupted operation. Maintenance, incidents, Meta outages or third-party failures may affect functionality. Features may change while the product is in development.
9. Suspension
We may suspend or restrict access where reasonably necessary for abuse prevention, security incidents, unpaid amounts (if fees apply), suspected policy violations, or legal compliance. We will act proportionately and restore access when the issue is resolved where practicable.
10. Intellectual property
The service software, documentation and branding of Net Seo Media remain our property or that of our licensors. Merchants retain rights in their store data, branding and Meta/WhatsApp assets. Meta trademarks belong to their respective owners; unauthorized use of Meta logos is not granted by these Terms.
11. Disclaimers and limitation of liability
The service is provided on an “as available” basis during private testing. To the maximum extent permitted by applicable law, Net Seo Media is not liable for indirect, incidental or consequential damages, lost profits, or damages arising from Meta platform behavior, merchant misconfiguration, missing opt-in, or template rejection. Nothing in these Terms excludes liability that cannot be limited under Romanian law.
12. Termination and disconnection
Merchants may disconnect the integration and stop using the service at any time. We may terminate access for material breach, prolonged inactivity in testing programs, or discontinuation of the product with reasonable notice where practicable. After disconnection, data handling follows our Privacy Policy and Data Deletion Instructions.
13. Data protection
Processing of personal data is described in our Privacy Policy. Merchants remain responsible for lawful messaging to their customers.
14. Changes to these Terms
We may update these Terms by publishing a new version on this page. Continued use after the effective date constitutes acceptance of material updates where permitted by law. For material changes affecting contracted merchants, we will provide additional notice when reasonable.
15. Governing law
These Terms are governed by the laws of Romania, without prejudice to mandatory consumer or data-protection rights that cannot be waived.
